Terms and Conditions – NG Import & Export (www.underweargroothandel.nl)

1. General
1.1 These terms and conditions apply to all quotations, orders, and agreements of NG Import & Export (www.underweargroothandel.nl), located at Gasthuisstraat 28, 5171 GG Kaatsheuvel, The Netherlands.
1.2 NG Import & Export is registered with the Dutch Chamber of Commerce under number 96903244, with VAT number NL005236959B33.
1.3 These terms and conditions apply exclusively to sales to businesses (B2B). Private consumers are not permitted to place orders.
1.4 By placing an order via www.underweargroothandel.nl, the purchaser agrees to these terms and conditions.

2. Orders and Agreement
2.1 Orders may only be placed by businesses with a valid Dutch Chamber of Commerce number (KvK) or foreign business registration.
2.2 The minimum order value is €100, excluding VAT. Orders below this amount will not be processed.
2.3 An agreement is concluded when NG Import & Export confirms the order in writing (including via e-mail).
2.4 NG Import & Export reserves the right to refuse orders without providing reasons.

3. Prices and Payment
3.1 All stated prices are exclusive of VAT and shipping costs, unless otherwise indicated.
3.2 Payment must be made in advance using the payment methods offered on the website unless otherwise agreed.
3.3 In case of other agreements, if the payment term is exceeded, the purchaser is automatically in default and statutory commercial interest is due.
3.4 Any collection costs shall be fully borne by the purchaser.

4. Delivery and Shipping
4.1 Delivery takes place at the delivery address specified by the purchaser, or the purchaser may collect the order at the premises of NG Import & Export, Gasthuisstraat 28, 5171 GG Kaatsheuvel.
4.2 Shipments are made via PostNL with track & trace.
4.3a For orders under €500, excluding VAT, within the Netherlands and Belgium, shipping costs are €7.50, excluding VAT, per order.

4.3b For orders outside the Netherlands and Belgium check the homepage for the costs of shipping
4.4 Orders of €500 or more, excluding VAT, are delivered free of charge (free shipping) within the Netherlands and Belgium.
4.5a Delivery times are normally a maximum of 2 working days in Netherlands and Belgium after receipt of full payment and order confirmation.

4.5b Delivery times outside Netherlands and Belgium are as quick as possible, we will ship your order within 2 business days
4.6 The stated delivery times are indicative and do not entitle the purchaser to compensation or cancellation in case of delay.
4.7 NG Import & Export is not liable for delays or damage occurring during transport.
4.8 The risk of loss or damage of the products transfers to the purchaser upon handover to PostNL or, in case of collection, at the moment of delivery at the premises.

5. Returns and Complaints
5.1 Returns are excluded unless there is a demonstrable defect or incorrect delivery.
5.2 For hygiene reasons, underwear and socks cannot be returned.
5.3 Complaints must be reported in writing within 5 working days of delivery, preferably with supporting photographs.
5.4 In the case of a justified complaint, NG Import & Export may, at its discretion, replace the product or credit (part of) the invoice amount.

6. Liability
6.1 NG Import & Export is not liable for indirect damage, consequential loss, or loss of profit.
6.2 The liability of NG Import & Export is limited to the invoice amount of the relevant delivery.

7. Retention of Title
7.1 All delivered goods remain the property of NG Import & Export until full payment has been received.

8. Applicable Law and Disputes
8.1 All legal relationships between NG Import & Export and the purchaser are governed exclusively by Dutch law.
8.2 Disputes shall be submitted exclusively to the competent court in the district where NG Import & Export is located.

10. Showroom & Warehouse Opening Hours
10.1 Orders can be collected at the premises, Gasthuisstraat 28, 5171 GG Kaatsheuvel.
10.2 The showroom and warehouse are open for collection from Monday to Friday, 1:00 PM to 5:00 PM, and by appointment.
